Greeniacs® Membership Agreement

This Membership Agreement (this "Agreement") explains the contractual agreement between you ("you", "your", "Member") and Greeniacs ("Greeniacs®", "we," "us," "our"), regarding your use of and access to the web site located at www.Greeniacs.com (the "Web Site") and the services provided to Members via the Web Site, as well as your use of the terms "Greeniac®", "Greeniacs®", and "Greeniac Nation®".

1. ACCEPTANCE.

Your access to and use of this Web Site and your corresponding membership benefits are subject to your acceptance of and compliance with the (the "Terms of Use"), the Privacy Policy incorporated therein by reference (the "Privacy Policy") and the terms of this Agreement. Greeniacs® grants you a non-exclusive, non-assignable license to be a member of the Greeniac Nation®, to call yourself a Greeniac®, to avail yourself of the benefits of membership in the Greeniac Nation® and to utilize this Web Site for Member services. Greeniacs® will provide its Members with certain online services accessible only by Members of the Greeniac Nation®. Such services are described in full detail on Greeniacs.com® on the Greeniacs Membership Benefits page. Greeniacs® reserves the right to add or remove Member services as it sees fit at any time, and change the Terms of Use from time to time, without notice or liability to you.

2. INFORMATION POSTED ON THE WEB SITE OR EXCHANGED BETWEEN MEMBERS.

We reserve the right to take any action with respect to information posted on the Web Site which we believe is appropriate in our sole discretion, including, but not limited to, termination of your rights of use. However, we cannot, nor do we, review, edit and/or control the information provided by users or content providers which is made available through the Web Site. Any user identification names or passwords shall be maintained as confidential and should not be shared with anyone not authorized to have access to your personal information. We may be required, by applicable law, subpoena, court order or other legal process to disclose your personally identifiable information, and it is our policy to comply with any such requirements, for which you specifically agree that we shall have no liability to you.

3. TERMINATION.

You have the right to terminate your Greeniacs® membership at any time, which in no way will limit you from accessing the public portion of the Web Site, provided you are in compliance with the Terms of Use and we have not otherwise terminated your rights of use. To cancel your membership, log into your GreeniacsProfile and click on the "Cancel Membership" link under the "Edit Profile" page. Notwithstanding the foregoing, Greeniacs® shall have the unilateral right to terminate your use of the Web Site and membership any time for any reason or no reason, including, but not limited to, our convenience or your breach of this Agreement and/or the Terms of Use, after which you shall immediately cease from referring to yourself as a "Greeniac®" and shall otherwise no longer be entitled to any of the benefits of membership, including, but not limited to, any e-mail addresses and/or accounts provided to you in connection with your membership. Following any such termination, Greeniacs® shall have no further obligations, responsibilities, or liabilities to you. Notwithstanding anything to the contrary contained herein, in the event that either party terminates this Agreement and/or your use of the Web Site, Greeniacs® shall in no way be precluded from pursuing any and all of its rights and remedies, either at law or in equity, for any claims, damages, awards, costs and liabilities occasioned by your breach of this Agreement and/or the Terms of Use prior to such termination or after such termination should you continue to hold yourself out as a Greeniac®, or engage in any activity which would otherwise violate any of the trademark rights or other rights of the Greeniac Nation® or Greeniacs®, or otherwise do anything injurious or damaging to us.

4. CREDIT CARD INFORMATION.

Any credit card payments made by you shall be processed by a third-party payment processor. We do not store credit card information either on or outside the Web Site.

5. INDEMNIFICATION.

In addition to your indemnification obligations set forth in the Terms of Use, you agree to indemnify, defend, save, reimburse and hold us harmless from and against any and all claims, demands, actions, costs, liabilities, losses and damages of any kind (including attorneys' fees), etc. resulting from: (i) your use of the Member services; (ii) your breach of any provision of this Agreement; (iii) the illegality, reliability, appropriateness, originality or copyright of any submission or post made by you in connection with the Member services; and/or (iv) any other act or omission on your part.

6. DISCLAIMER OF WARRANTIES.

GREENIACS® MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF NON-INFRINGEMENT, WARRANTIES OF FITNESS, PURPOSE, OR MERCHANTABILITY, REGARDING YOUR MEMBERSHIP IN THE GREENIAC NATION® OR YOUR USE OF ANY MEMBER-ONLY SERVICES AVAILABLE ON GREENIACS®, OR OF THE ACCURACY OF RESULTS OBTAINED THROUGH YOUR USE OF SAME. YOUR USE OF THE GREENIACS® MEMBERSHIP SERVICES AND YOUR PROVIDING YOUR CREDIT CARD AND/OR RELATED INFORMATION SHALL BE AT YOUR SOLE RISK AND DISCRETION.

7. LIMITATION OF LIABILITY.

GREENIACS® SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF OR DAMAGE TO ANY DATA OR BUSINESS/PERSONAL INFORMATION. YOU SHALL BE SOLELY RESPONSIBLE FOR THE SELECTION, USE, AND SUITABILITY OF THE GREENIACS® MEMBERSHIP SERVICE. GREENIACS® SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL OR ANY OTHER DAMAGES IN CONNECTION WITH THE TERMS OF USE AND THIS AGREEMENT, INCLUDING, BUT NOT LIMITED TO, LOSS OF OR DAMAGE TO DATA OR LOSS OF OR DAMAGE TO BUSINESS INFORMATION, HOWEVER CAUSED, WHETHER BASED ON CONTRACT, TORT, WARRANTY, OR OTHER LEGAL THEORY, AND EVEN IF GREENIACS® HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES AND/OR SUCH DAMAGES COULD HAVE BEEN REASONABLY FORESEEN BY GREENIACS®.

8. GOVERNING LAW.

This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of California, without regard to its conflicts of laws principles. All disputes arising out of or with respect to this Agreement shall be heard exclusively in the courts, State and Federal, located in the State of California, County of Santa Clara, and each of the parties hereto expressly consents and submits to the exclusive jurisdiction and venue of such courts. Some jurisdictions do not allow excluding or limiting implied warranties or limiting liability for incidental or consequential damages, and some jurisdictions have special statutory consumer protection provisions which may supersede the foregoing disclaimers and limitations. As a result, these disclaimers and/or limitations may not apply to you if prohibited by law.

9. COPPA.

Pursuant to the terms of the Children's Online Privacy Protection Act (COPPA), we do not knowingly collect personally identifiable information from children under the age of thirteen (13). The Web Site is not directed at children under the age of thirteen (13), and by using the Web Site, you represent that you are not under the age of thirteen (13). While it is unlikely that a child would have any interest in the content or services offered on the Web Site, should such interest exist, the parent or guardian of the child must contact Customer Service via email at customerservice@greeniacs.com . prior to disclosing any personal information of such child. Notwithstanding the above, if a parent provides their child's information to us, or registers their child as a Member, such parent hereby consents to our use of such information in accordance with our Privacy Policy, unless the parent has contacted us and made a written request to opt out of certain disclosures of their child's information, provided the receipt of such request has been acknowledged by us in writing.

10. MISCELLANEOUS.

Headings are for reference purposes only. Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable materials. Specifically, you agree to comply with all applicable laws regarding the transmission of technical or other data exported from the United States or the country in which you reside. This Agreement, the Terms of Use, the Privacy Policy, and any web pages or other documents incorporated by reference, set forth the entire understanding and agreement between us with respect to the subject matter hereof.
